Terms

1. Payment Terms
   Payment is due within 30 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest in accordance with the UK’s Late Payment of Commercial Debts Regulations (8% plus the Bank of England base rate).

2. Usage Rights
   Full usage rights for the delivered work are granted only once full payment has been received. Until then, all rights remain with the freelancer.

3. Revisions
   Reasonable revisions are included unless otherwise specified. Significant changes to the brief or scope may be subject to additional fees.

4. Cancellation
   In the event of a project being cancelled after work has begun, a partial fee may be charged based on time spent and any work delivered up to that point.

5. File Delivery and Backup
   Final files will be delivered via agreed methods upon completion. It is the client’s responsibility to download and back up all assets – file storage beyond 30 days is not guaranteed unless arranged in advance.

6. Liability
   All work is carried out in good faith and to professional standards. However, liability for consequential losses, delays, or third-party claims is excluded.

7. Disputes
   Any disputes will be dealt with in a fair and timely manner. If resolution isn’t possible, both parties agree to mediation before pursuing legal action.

8. Live Event Work  - Responsibilities and Setup
   Unless otherwise agreed, the client is responsible for providing safe, suitable working conditions, including access to power, load-in/load-out arrangements, and necessary accreditation or site access. A technical rider will be supplied in advance if required.

9. Live Event Work  - Health and Safety
   I reserve the right to cease work or refuse to operate if conditions are unsafe, unlawful, or outside the agreed scope (e.g., weather-related hazards, crowd safety concerns, unapproved changes to setup). In such cases, the full fee may still apply.

10. Live Event Work  - Equipment
    Unless otherwise stated, I work using client-supplied equipment. If I am supplying any kit, a separate hire agreement will apply. Any loss or damage to hired or personally owned equipment while in use at the client’s event may be chargeable.
    
    These terms and conditions apply to all work carried out by Richard Martin, trading as Soundrich Ltd.
